Constitution

CONSTITUTION AND RULES FOR THE MANAGEMENT AND TRANSACTION OF BUSINESS

1. Name of the Association

The 'Norfolk County Bowls Coaching Association' hereinafter called the Association.

2. Membership

2.1 Membership shall include all qualified Coaches and Instructors duly appointed

and registered with the Association.

2.2 Associate members shall be those persons interested in the role of coaching of

the game of bowls, but not yet qualified.  They shall not have a vote but may attend

AGMs and EGMs of the Association.

3. Aims and Objectives:

3.1. To foster and develop the coaching of flat green bowls in Norfolk at all levels of

the game, in accordance with the programme issued by the English Bowls Coaching

Scheme, or successor body, or in any way the Association sees to be advantageous

to the development of bowls in Norfolk.

3.2. To develop and maintain a coaching structure as seems appropriate to the

needs of bowls in Norfolk. To appoint or recommend the appointment of coaches

and instructors as determined by the National Bowls Coaching Scheme or

successor body.

3.3 The Coaching shall encourage sportsmanship and the accepted etiquette of the

game.

3.4 The Association shall be non-political and non-partisan. It shall fully engage with

disabled and racial groups.

4. The Executive Committee

The Officers forming the Executive Committee shall be appointed by the AGM of

the Association.  There shall be no restriction on the length of membership of any

individual, providing he/she has been duly elected by the Association

5. Powers and Duties of the Executive Committee

The affairs of the Association shall be conducted by an Executive Committee made

up of a Chairman, Secretary, Treasurer, County Coach (and co-opted members as

permitted below).

The Executive Committee shall have full powers of co-option for particular

purposes, and shall also have powers to appoint sub-committees.  Co-opted

members shall stand down at each AGM, but may be re-appointed as required by

the Executive Committee.

The Officials of the Association shall have powers to act in accordance with the

provisions of the Constitution, but subject to the rules and restrictions contained

herein.

Four members shall be required to make up a quorum

6. Annual General Meetings

The Association shall hold an Annual General Meeting (AGM) in the spring of each

year, at which the duly authorised voting membership shall elect the following

Officers to an Executive Committee:  The Secretary shall call meetings giving

twenty-one days notice.

a.  Chairman

b.  Secretary

c.  Treasurer

d.  County Coach

The Chairman shall conduct all meetings, or if not available, a chairman from those

present.

Except as provided under Para 11, votes shall be by show of hands. The Chairman

shall have a second or casting vote whenever there shall be a tied vote.

The Secretary shall keep a record of the affairs of the meetings and shall record all

votes and decisions.

The Secretary shall also call an Extraordinary General Meeting (EGM) at the request

in writing from any full member of the association if supported in writing by 5 other

full members. The member must give written notice of the business to be

discussed. The EGM shall be called within twenty-one days of the request. The

business at this meeting shall be that requested in writing, and no other.

The Treasurer shall open an approved bank account, which shall be in the name of

Norfolk County Bowls Coaching Association. Monies in this account shall be

authorised for disbursement upon any two signatures from three Authorised

Signatories, who shall be Officers of the Association.

The Treasurer shall present to the Annual General Meeting accounts which an

independent elected Auditor, who need not be a member of the Association and

shall not be a member of the Executive Committee, has duly audited.

7. The Association may, without reference to the County Associations of whatever

flat green code, raise moneys and funds either from coaching fees, membership

subscriptions or other means as appropriate.  It may disburse these funds by the

purchase of plant and equipment for the development of bowls coaching in

Norfolk, or by other means, but subject to the conditions imposed by this

Constitution

8. In the event of the Association being disbanded, all monies, after the settlement

of debts and liabilities shall be distributed equally to the associations. All plant and

equipment shall be sold, and after settlement of any liabilities attached to these,

shall be similarly disbursed.

The Interpretation Act of 1889 shall apply to this Constitution.

No member of the Association is authorised to act outside these rules.

Members shall act in a manner becoming of a professional body and abide by its

rules and ethics.  Failure by a member can lead to the Executive Committee

removing that person from the membership.  Such action can be appealed at an

EGM if requested in writing by the excluded member at which the facts will be

presented, and a final decision made by the members present using a secret ballot.

This Constitution shall only be changed at an Annual General Meeting.
